1. Your Relationship With Us

These Terms govern the relationship between you and Find App and set forth the terms and conditions by which you may access and use the Find App mobile application, website, application programming interfaces, and related products, services, content and functionality (collectively, the “Platform”). For the purposes of these Terms, “you” and “your” mean you as the user of the Platform.

These Terms, together with our Privacy Policy and Refund Policy, form a legally binding agreement between you and Find App. Please take the time to read them carefully.

If you are under 18 years of age, you may only use the Platform with the consent of your parent or legal guardian, who is responsible for your use of the Platform and any obligations arising under these Terms. By accessing or using the Platform, you warrant that you have the legal capacity to enter into a binding contract (including being at least the age required to have such capacity in the country where you are resident), and you agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of the Platform.

2. About Find App

Find App is a local discovery and merchant platform operated by Find Technologies Pte. Ltd., headquartered in Singapore. The Platform facilitates discovery, engagement, and transactions between:

• Users — individuals who browse and purchase coupons, check in at merchant locations, share reviews and content, and may earn non-cashable Find Coins; and
• Merchants — businesses that list and manage their profiles, publish content, and offer coupons through the Platform.

Key points:

• Find App is not a seller or provider of the goods or services offered by Merchants. All coupons and offers are made by Merchants, who are solely responsible for fulfilment, service quality, and redemption.
• Find App provides tools for content sharing and social interaction. Content is generated by Users and Merchants and does not represent Find App's views.
• Find App acts as an intermediary and technology provider, offering tools to connect Users and Merchants.
• Find App is not itself a licensed payment service provider. Payments for coupon purchases are processed by an authorised third-party payment service provider (Stripe) that is licensed or otherwise authorised to provide payment services in the relevant jurisdiction. Funds are received by the payment service provider on behalf of the relevant Merchant, who is the principal vendor of the goods and services to which the coupon relates. Find App acts as the Merchant's commercial agent in offering and selling coupons through the Platform.

3. Eligibility

• You must be at least 18 years of age to register an account on the Platform. Users under 18 may use the Platform only with the supervision and consent of a parent or legal guardian, who shall be responsible for the User's compliance with these Terms.
• To register as a Merchant, you must be a business legally permitted to operate in Singapore.
• You must not be subject to any applicable sanctions, asset freezes, or trade restrictions, and you must not be located in any jurisdiction subject to comprehensive sanctions.

4. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for:

• keeping your login details secure and confidential;
• all activity occurring under your account;
• notifying us promptly of any unauthorised access to your account or any other breach of security.

In connection with your account, you agree to the following:

• you will not provide any false personal information on the Platform, or create an account for anyone other than yourself without permission;
• you will not create more than one account;
• if Find App disables your account, you will not create another one without our permission;
• you will not share your password, permit unauthorised access to your account, or do anything else that might jeopardise the security of your account;
• you will not transfer your account to any other party without the prior written consent of Find App; and
• if you select a username or similar identifier for your account, Find App reserves the right to remove or reclaim it if we believe it is appropriate (including where a third party complains that a username violates their rights).

A breach of the restrictions in this Section 4 may constitute an offence under the Computer Misuse Act 1993 of Singapore.

Find App may take reasonable measures to verify your identity, including for fraud prevention and compliance purposes.

5. Platform Services

The Platform currently offers, among other features:

• Browsing and searching of Merchant listings, locations, and offerings;
• Browsing and purchasing coupons offered by Merchants;
• Redemption of coupons at participating Merchant outlets;
• Check-ins at Merchant locations;
• Posting reviews, photos, and other content;
• Earning and using Find Coins (non-cashable rewards);
• Access to Merchant promotions, advertising, and content.

Find App may add, modify, suspend, or discontinue features from time to time. Material reductions to core functionality will be notified in advance via the Platform or email.

6. New Features and Changes to the Platform

Find App may introduce new features and functionalities to the Platform from time to time. The way new features become applicable to you depends on the nature of the feature:

• Standard features: Enhancements that do not involve new processing of your personal data, do not impose new charges on you, and do not impose new material obligations on you, are made available without further action on your part. Find App may notify you of significant new features via the Platform or email.
• Material features: Features that involve new processing of your personal data, new charges to you, or new material obligations on you, will be presented to you for review and acceptance before they apply to you. You may decline to use such features without affecting your access to the rest of the Platform.

7. Social Features and User Content

7.1 Content You Submit

The Platform allows you to create, share, and interact with content, including check-ins, reviews, photos, and videos (“User Content”). Subject to Section 11 (Intellectual Property), you retain ownership of User Content that you create.

By submitting User Content to the Platform, you grant Find App a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable licence to collect, store, host, process, use, reproduce, modify, adapt, prepare derivative works of, translate, publish, display, and distribute such User Content, with or without attribution to you, in connection with operating, providing, and marketing the Platform, across different media now known or later developed, without notice to you. This licence continues for User Content that has been shared with others or used in our marketing materials, even after termination of your account.

To the extent permitted by law, you expressly waive any “moral rights” (including rights of attribution and integrity) that may subsist in User Content you submit, and you agree that you have no objection to Find App publishing, using, modifying, translating, or otherwise exploiting your User Content in accordance with the licence above.

7.2 Content Standards

You must not upload or share content that is unlawful, defamatory, misleading, harmful, infringing, harassing, hateful, sexually explicit, or otherwise inappropriate.

Reviews must reflect genuine experiences. Incentivised, paid, or sponsored reviews must be clearly disclosed.

You are responsible for the legality, accuracy, and appropriateness of all User Content you submit.

7.3 Check-Ins and Location Data

Check-ins are voluntary. If you choose to check in, your check-in may be visible to other users of the Platform, depending on your privacy settings.

Find App does not verify the accuracy of check-ins.

Location data is processed in accordance with the Singapore Personal Data Protection Act 2012 (“PDPA”) and our Privacy Policy.

Merchants are prohibited from using check-in data for spam or harassment.

7.4 Moderation

Find App may, in its reasonable discretion, remove or restrict User Content that violates these Terms, applicable laws, or community standards. Where practicable, we will notify you of removal or restriction and provide an opportunity to appeal. We may take immediate action without prior notice in cases involving suspected illegality, harm, or risk to the Platform or its users.

7.5 No Endorsement

Find App is not responsible for the accuracy, reliability, or appropriateness of User Content. Reliance on User Content is at your own risk.

7.6 Feedback and Suggestions

All comments, suggestions, ideas, notes, concepts, feedback or other information disclosed or offered to Find App by you, whether solicited or unsolicited (collectively, “Feedback”), shall be deemed to be and shall remain the property of Find App. You hereby assign by way of present and future assignment all intellectual property rights in any Feedback to Find App. Find App shall exclusively own all rights to such Feedback and shall be entitled to unrestricted use of the Feedback for any purpose whatsoever, commercial or otherwise, without compensation or attribution to you.

8. Find Coins and Rewards

Find Coins are a rebate or reward issued by Find App to Users in connection with eligible activities such as redeeming coupons or participating in promotions. Find Coins:

• are not cash, are not redeemable for cash, and cannot be withdrawn;
• may be used to offset all or part of the cost of future coupon purchases on the Platform;
• are not transferable between accounts;
• do not currently expire, although Find App may introduce expiry rules in the future on reasonable notice;
• may be adjusted, cancelled, or withheld in cases of abuse, fraud, or error.

Where Find Coins have been used to offset a coupon purchase that is later refunded, the Find Coins portion of the payment is reissued as Find Coins (not as cash), in accordance with the Refund Policy.

9. Coupon Purchases, Redemption, and Refunds

9.1 Coupon Purchases

Coupons are offered by Merchants and purchased by Users through the Platform.

Pricing, redemption windows, and coupon-specific terms are displayed on each coupon's detail page before purchase. By purchasing a coupon, you accept the coupon-specific terms applicable to that coupon.

Payments are processed by our authorised third-party payment service provider (Stripe), which acts as Find App's collection agent on behalf of the relevant Merchant.

9.2 Redemption

Coupons must be redeemed within the redemption window stated on the coupon, which is by default seven (7) days from purchase.

Coupons not redeemed within the applicable redemption window will expire and be refunded in accordance with the Refund Policy.

Merchants are solely responsible for honouring valid coupons and for the goods and services they provide upon redemption.

9.3 Refunds

Refunds are governed by the Refund Policy, which forms part of these Terms. The Refund Policy explains:

• when refunds are available (including the 2-hour cooling-off window);
• how refund amounts are calculated (including platform fee allocation);
• how Find Coins are handled on refunds;
• the dispute and review process for refund requests.

9.4 Representations and Warranties

By using the Platform, you represent and warrant to Find App that:

• you are at least eighteen (18) years of age (or, if under 18, that you have the consent of a parent or legal guardian in accordance with Section 1);
• you have the legal capacity to enter into a binding contract and are not subject to any form of insolvency, bankruptcy, or similar proceedings;
• all information you have provided or will provide to Find App (including on registration) is accurate, true, current, and complete in all respects and is not misleading;
• your use of the Platform does not and will not breach any agreement or obligation to which you are bound;
• you will comply with all applicable laws, regulations, and third-party rights in connection with your use of the Platform; and
• you have read, understood, and agree to these Terms and the Privacy Policy.

10. Acceptable Use

You agree not to:

• misuse the Platform or attempt to bypass security or technical measures;
• engage in fraudulent purchases, redemptions, or activity (including coordinated purchase-and-refund schemes);
• upload, transmit, or distribute harmful code, malware, or content that infringes the rights of others;
• impersonate any person or misrepresent your affiliation with any person or entity;
• use the Platform for money laundering, terrorist financing, or any other illegal financial activity;
• use the Platform in any manner that violates applicable laws;
• collect other users’ content or information, or otherwise access the Platform, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior written permission;
• solicit login information or access an account belonging to someone else;
• bully, intimidate, stalk, or harass any other user;
• post content that is hate speech, threatening, or pornographic, incites violence, or contains nudity or graphic or gratuitous violence;
• do anything that could disable, overburden, or impair the proper working or appearance of the Platform, such as a denial of service attack or interference with page rendering or Platform functionality;
• facilitate or encourage any violation of these Terms;
• attempt to decompile, reverse engineer, disassemble, or otherwise derive the source code of the Platform or any part thereof;
• frame, mirror, or otherwise incorporate any part of the Platform into any other website, application, or service without our prior written consent.

A breach of this Section 10 may constitute an offence under the Computer Misuse Act 1993 of Singapore and/or other applicable laws.

11. Intellectual Property

All content, trademarks, logos, software, design elements, and materials made available on the Platform (other than User Content and content owned by Merchants or third-party licensors) belong to Find App or our licensors. Subject to Section 7.1, you retain ownership of User Content that you create. You may not copy, distribute, modify, reverse-engineer, or commercially exploit the Platform or its content without our prior written consent, except as expressly permitted by these Terms or applicable law.

Without limiting the foregoing, you agree not to: (a) modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Platform in whole or in part; (b) reverse engineer, decompile, disassemble, separate, alter, or attempt to discover any source code of the Platform; or (c) display or use in any manner any trademarks, service marks, trade names, or logos of Find App (the “Trademarks”) without Find App’s prior written authorisation. Nothing in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Trademarks displayed on the Platform. All goodwill generated from the use of the Trademarks shall inure to Find App’s exclusive benefit.

12. Privacy and Data Protection

Find App collects, uses, processes, and discloses personal data in accordance with the PDPA and our Privacy Policy. Please refer to our Privacy Policy for details.

By creating an account, you consent to receiving service-related communications from us (such as transaction confirmations, account notifications, and policy updates). You may opt in or opt out of marketing communications via your account settings, in accordance with the PDPA.

If you obtain personal data of another user through the Platform (for example, via reviews, check-ins, or communications), you may only use that data for the specific purpose for which it was provided. You may not use such data for marketing, spam, or any other purpose without the express written consent of the relevant user.

Upon termination of your account: (a) Find App will retain your personal data for as long as reasonably necessary to comply with its legal obligations, resolve disputes, and enforce these Terms; (b) Find App will anonymise your personal data within sixty (60) Business Days of account deletion; and (c) public content such as reviews, check-ins, and User Content that has been shared with others will not be deleted but will be anonymised (your username will be replaced with an alphanumeric identifier).

13. Third-Party Services and Links

The Platform may contain links to, or integrate with, third-party websites, applications, or services (including Merchant websites and social media platforms). Find App does not control and is not responsible for the content, terms, or practices of those third parties. Your use of third-party services is at your own risk and subject to those third parties' terms.

14. Mobile App Stores

If you access the Platform through a mobile application downloaded from the Apple App Store or Google Play Store, your use is also subject to the applicable terms of that app store. In the event of any conflict between these Terms and the app store's terms with respect to that app store's services, the app store's terms prevail in respect of those services. The Apple App Store and Google Play are not parties to these Terms and do not provide warranties or support for the Platform.

15. Disclaimers

To the fullest extent permitted by law, the Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. Find App does not guarantee:

• availability or uptime of the Platform;
• accuracy or completeness of Merchant information, listings, or User Content;
• the quality, safety, or fitness for purpose of goods and services provided by Merchants;
• error-free or uninterrupted service;
• the timing, accuracy, or completion of payments or settlements processed by third-party payment service providers.

Without prejudice to the generality of the foregoing, Find App expressly disclaims: (a) all implied warranties, terms and conditions relating to the Platform (whether implied by statute or common law), including without limitation any warranty, term or condition as to accuracy, completeness, satisfactory quality, performance, fitness for purpose or any special purpose, non-infringement, and information accuracy of content; (b) all liability whatsoever to the extent permitted by law whether arising in contract, tort, or otherwise in relation to the use of the Platform; (c) the security of any information transmitted by you or to you through the Platform, and you accept the risk that any information transmitted or received through the Platform may be accessed by unauthorised third parties; and (d) responsibility for any technical failure of the internet, data transmitted through the Platform, or any damage or injury to users or their equipment as a result of or relating to their use of the Platform.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for death or personal injury caused by negligence, or fraud).

16. Limitation of Liability

To the fullest extent permitted by law, and except for losses arising from fraud, gross negligence, wilful misconduct, or death or personal injury caused by Find App's negligence:

• Find App shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill;
• Find App is not responsible for losses arising from goods or services provided by Merchants;
• Find App is not responsible for delayed or failed coupon redemptions caused by Merchants;
• Find App is not responsible for losses arising from acts, omissions, delays, or failures by third-party payment service providers;
• Find App is not responsible for losses caused by unauthorised access to your account, except where caused by Find App's own breach of security obligations.

Subject to the above, Find App's total aggregate liability to you under or in connection with these Terms shall not exceed the total amount you have paid to Find App (including amounts paid for coupons, net of refunds received) in the six (6) months preceding the event giving rise to the claim, or S$100, whichever is greater.

Personal Use Only. The Platform is provided for personal, non-commercial use as a User, or for legitimate business purposes as a Merchant under a Find App Merchant Agreement. As a User, you agree not to use the Platform for resale, commercial reselling, scraping, automated extraction, or any other commercial purpose. Find App has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity arising from your use of the Platform other than as expressly contemplated by a Find App Merchant Agreement.

17. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Find App and its officers, employees, and affiliates from and against any third-party claims, losses, damages, liabilities, and reasonable costs (including reasonable legal fees) arising out of or in connection with:

• your unlawful or unauthorised use of the Platform;
• your breach of these Terms;
• your violation of any applicable law or third-party rights;
• User Content you submit to the Platform; or
• disputes between you and a Merchant arising from a coupon you purchased or interaction with that Merchant on the Platform.

This indemnity does not apply to the extent the claim arises from Find App's own negligence, wilful misconduct, or breach of these Terms.

18. Force Majeure

Find App shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to:

• acts of God, flood, drought, earthquake, fire, or other natural disasters;
• epidemic or pandemic;
• terrorist attack, war, civil unrest or riots, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations;
• nuclear, chemical or biological contamination, or sonic boom;
• any law or any action taken by a government or public authority;
• failure of public utilities;
• failure of third-party telecommunications, payment, or hosting infrastructure; and
• internet, system, or device instability, computer viruses, denial-of-service attacks, hacker attacks, or other malicious cybersecurity events.

19. Suspension and Termination

19.1 Termination by You

You may terminate your account at any time through the Platform or by contacting us. Upon termination of your account by you:

• any unused Find Coins are forfeited;
• any unredeemed coupons remain valid until expiry, subject to the Refund Policy;
• the licence granted by you under Section 7.1 continues for User Content that has been shared with others or used in our marketing materials.

19.2 Suspension or Termination by Find App

Find App may suspend or terminate your access to the Platform as follows:

• Targeted suspension: In appropriate cases (including where you initiate a chargeback, where we are investigating a complaint, or where there is a non-material breach), we may suspend specific functionality (such as the ability to purchase new coupons) while continuing to provide other Platform features.
• Full suspension: We may temporarily suspend your full access to the Platform where we reasonably suspect fraud, illegal activity, material breach of these Terms, or risk of harm to other Users, Merchants, or Find App.
• Termination: We may terminate your account where: (a) we reasonably determine that you have engaged in fraud, illegal activity, or material breach of these Terms; (b) you have engaged in repeated or fraudulent chargebacks; (c) you fail to remedy a non-material breach within a reasonable cure period after we have notified you; or (d) we cease offering the Platform.

Where a chargeback is resolved in Find App’s favour, Find App reserves the right to set off any losses, costs, or fees incurred by Find App in connection with the chargeback (including card network fees and administrative costs) against your Find Coins balance or future refund entitlements. Find App will notify you of any such set-off.

By using the Platform, you authorise Find App to deduct any amounts you owe to Find App under these Terms or this Policy (including chargeback losses, fees, and set-off amounts) directly from your registered payment method, Find Coins balance, or any future refund entitlements, to the extent permitted by applicable law. Find App will provide you with reasonable notice before making any such deduction, except where the deduction is in connection with a chargeback or fraud investigation.

We will provide you with notice of suspension or termination as soon as reasonably practicable, except where we are prevented from doing so by law or where notification would be likely to compromise an investigation. Where the suspension or termination is for a non-material breach, we will provide a reasonable opportunity to cure before taking action.

19.3 Effect of Termination

Upon termination, your right to access the Platform ceases. Sections that by their nature are intended to survive termination (including Sections 7.1, 11, 15, 16, 17, 24, 25, and this Section 19.3) survive termination.

19.4 Cooperation with Authorities

Find App shall fully cooperate with any law enforcement authorities or court order requesting or directing Find App to disclose the identity or locate anyone who is in breach of these Terms. You consent to Find App disclosing your account information and personal data to law enforcement authorities or pursuant to court orders to the extent required by applicable law.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

21. No Waiver

No waiver by Find App of any breach of these Terms shall be deemed a waiver of any subsequent or continuing breach, whether of the same or a different character. No granting of time or other forbearance or indulgence by Find App to you shall in any way release, discharge, or otherwise affect your liability under these Terms.

22. Entire Agreement and Order of Precedence

These Terms, together with the Privacy Policy and Refund Policy (and, for Merchants, the Find App Merchant Agreement), constitute the entire agreement between you and Find App in relation to your use of the Platform.

In the event of conflict or inconsistency between these documents:

• For Merchants, the Find App Merchant Agreement prevails on matters concerning the commercial relationship between Find App and the Merchant;
• The Refund Policy prevails on refund-specific matters;
• The Privacy Policy prevails on data protection matters;
• Otherwise, these Terms prevail.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Find App may assign or transfer its rights and obligations under these Terms (including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets) on notice to you.

24. Notices

Find App may issue notices to you by email, in-app notification, or postings on the Platform. Notices sent by email or in-app notification are deemed received on the next Business Day after sending. You agree that electronic notices satisfy any legal requirement for written notice.

You may send notices to Find App at the contact details in Section 28.

25. Changes to These Terms

Find App may update these Terms from time to time. The procedure for changes depends on the nature of the change:

• Non-material changes (such as clarifications, formatting, or updates that do not adversely affect your rights) will be notified to you via the Platform or email. Continued use of the Platform after the effective date of the change constitutes acceptance.
• Material changes (such as changes that introduce new charges, materially expand our rights, materially restrict your rights, or change how we process your personal data) will be notified to you at least fourteen (14) days in advance via the Platform or email. We may require you to affirmatively accept the updated Terms before continuing to use the Platform. If you do not accept the material changes, you may terminate your account in accordance with Section 19.1, and any pending coupons remain subject to the Refund Policy.

26. Governing Law and Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of Singapore. You and Find App submit ourselves to the exclusive jurisdiction of the Singapore Courts.

Neither party shall have any remedy in respect of any untrue statement made by the other upon which that party relied in entering into these Terms (unless such untrue statement was made fraudulently or was as to a matter fundamental to a party’s ability to perform these Terms) and that party’s only remedies shall be for breach of contract as provided in these Terms.

27. Beta and Experimental Features

Find App may from time to time make features available on a “beta”, “preview”, or experimental basis. Such features are provided on an “as is” basis, may be modified or discontinued without notice, and may be subject to additional terms presented at the time you access them.
